Thank you for visiting a Borderland Festival online property. This website, and any related mobile experiences or services, are owned and operated by Craftwork Entertainment Group LLC d/b/a Borderland Festival (“Borderland,” “we,” “us,” or “our”).

These terms and conditions of use (“Terms of Service” or “Terms”) set forth the terms and conditions under which you are authorized to use borderlandfestival.com, including any website where these Terms are posted, and any subdomains and mobile versions (collectively, the “Site”), and any interactions with our other on-site or web-enabled technologies that may be used in connection with the festival experience (collectively, the “Online Services”).

By accessing or using the Online Services, you consent to the practices described in these Terms. If you do not agree to these Terms, you should immediately stop using the Online Services.

Additional Policies Incorporated by Reference

To the extent additional rules or guidelines affect your use of the Online Services, those rules and guidelines (including our Privacy Policy) are hereby incorporated by reference into these Terms. By using any of the Online Services, you agree to these Terms.

Description of Service

The Online Services are intended primarily for informational purposes. We provide information about Borderland Festival, artists, schedules, festival experiences, the Online Services, our company, our partners and sponsors, and general travel or accommodation information related to the festival. The Site may also provide links or directions for you to purchase tickets, upgrades, passes, or accommodations through third-party ticketing and travel services.

Your use of third-party content, services, and websites—including third-party links—are not governed by these Terms. You acknowledge and agree that we are not responsible for the availability of, or any content located on or through, any third-party site or service, or any use of your information by those third parties. You further acknowledge that any reliance on representations and warranties provided by any party other than Borderland will be at your own risk. You expressly agree to hold us harmless for any claims of damage arising from any content, product, or service provided by any third party or use of your information by those third parties. Your use of those third-party websites and services is subject to the terms of service and privacy policies posted on such site or service, and we encourage you to review them.

Your Representations

As a condition of your right to use the Online Services, you represent that you are of legal age to enter into a binding contract and that you are not a person barred from accessing the Online Services under the laws of the United States or any other applicable jurisdiction.

Restricted Activities

You may not engage in any of the following with regard to the Online Services (including, without limitation, posting or transmitting content through the Online Services), and you agree not to use the Online Services to:

• violate or encourage the violation of any local, state, national, or international law or regulation;
• collect or store personal data about other users of the Online Services or solicit personal information from any individual;
• impersonate any person or entity or otherwise misrepresent your affiliation with a person or entity;
• send or promote any message that is unlawful, libelous, defamatory, abusive, sexually explicit, threatening, vulgar, obscene, profane, or otherwise objectionable, as determined by Borderland in its sole discretion;
• infringe any patent, trademark, trade secret, copyright, right of publicity or privacy, or other right of any party, or distribute any content you do not have a right to make available;
• promote or distribute unauthorized advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or similar solicitations;
• disrupt or interfere with the security or use of the Online Services or any websites or content linked to them;
• interfere with or damage the Online Services, including through viruses, Trojan horses, harmful code, denial of service attacks, spoofing, forged routing or email address information, or similar methods;
• attempt to use another user’s account, create or use a false identity, or otherwise misrepresent your identity;
• attempt to obtain unauthorized access to the Online Services or portions thereof that are restricted from general access;
• use any meta tags or “hidden text” utilizing Borderland’s (or any third party partner or sponsor’s) name, trademarks, or product names without permission;
• attempt to reverse engineer or otherwise derive or obtain code from any software used in the Online Services;
• engage in any activity that interferes with any third party’s ability to use or enjoy the Online Services; or
• assist any third party in engaging in any activity prohibited by these Terms.

Further, without our written consent, you may not:

• reproduce, duplicate, copy, sell, resell, or exploit for any commercial purpose any Borderland content or any use of or access to the Online Services;
• use any high volume, automated, or electronic means (including robots, spiders, scripts, or other automated devices) to access the Online Services or monitor or copy our pages or the content contained thereon;
• deep link to the Online Services for any purpose; or
• frame the Online Services, place pop-up windows over any content, or otherwise affect the display of the Online Services.

Forums and User Content

We may host or display fan reviews, message boards, comment sections, blog feeds, or social media embeds (collectively, “Forums”), and you may be able to submit reviews, comments, suggestions, photos, videos, artwork, recordings, or other materials (“User Content”).

By submitting User Content, you certify that you are at least 18 years old, or that you are at least 13 years old and have obtained your parent’s or legal guardian’s express consent to submit User Content.

You retain ownership of your User Content. However, by uploading, posting, transmitting, or otherwise making User Content available on or through the Online Services, you grant Craftwork Entertainment Group LLC d/b/a Borderland Festival, and its affiliates, partners, licensees, and service providers, an irrevocable, nonexclusive, perpetual, royalty-free, transferable, sublicensable, worldwide license to copy, reproduce, modify, publish, display, archive, distribute, publicly perform, exploit, commercialize, and prepare derivative works of such User Content (including your name, image, likeness, or information you have made publicly available in connection therewith) in any manner, medium, or format now existing or later developed, without any obligation of notice, attribution, or compensation to you.

We do not endorse User Content and are not responsible for statements, opinions, or reviews posted by users. You understand that you may be exposed to content that is inaccurate, offensive, or objectionable.

You are responsible for your User Content and the consequences of posting it. You represent that you own or have the necessary rights and permissions to submit the User Content and grant the license above, and that you have permission from any identifiable person appearing in the User Content to use their name or likeness as contemplated by these Terms (and, for minors, permission from a parent or guardian).

We may (but are not obligated to) monitor, remove, or restrict access to User Content or Forums at any time for any reason.

Rules for Sweepstakes, Contests, and Promotions

Sweepstakes, contests, games, giveaways, or other promotions (“Promotions”) offered through the Online Services may have additional rules that differ from these Terms. By participating in a Promotion, you agree to the applicable Promotion rules. If there is a conflict, the Promotion rules will control for that Promotion.

Text Messages (SMS/MMS)

As part of using the Online Services, you may opt in to one or more texting programs administered by or on behalf of Borderland and/or our service providers (including Laylo). By opting in, you agree to receive recurring automated promotional and personalized marketing text messages (e.g., SMS, MMS, and other messaging formats) to the mobile number you provide. Consent to receive marketing texts is not a condition of any purchase.

Message and data rates may apply. Message frequency may vary. Carriers are not liable for delayed or undelivered messages.

To opt out of marketing text messages, reply STOP, END, CANCEL, UNSUBSCRIBE, QUIT, REVOKE, or OPT OUT to any message. For support, reply HELP or contact us using the information in the “Contact Information” section below.

All information collected in connection with our text messaging programs is governed by our Privacy Policy.

Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, CRAFTWORK ENTERTAINMENT GROUP LLC D/B/A BORDERLAND FESTIVAL, ITS AFFILIATES, SERVICE PROVIDERS, LICENSORS, AND THEIR RESPECTIVE OFFICERS, MEMBERS, SHAREHOLDERS, DIRECTORS, EMPLOYEES, AND AGENTS (COLLECTIVELY, THE “BORDERLAND PARTIES”) DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

THE ONLINE SERVICES AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. YOUR USE OF THE ONLINE SERVICES IS AT YOUR SOLE RISK.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE BORDERLAND PARTIES BE LIABLE TO YOU OR TO ANY PERSON OR ENTITY CLAIMING THROUGH YOU FOR ANY LOSS, INJURY, LIABILITY, OR DAMAGES ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE ONLINE SERVICES OR ANY CONTENT, PRODUCTS, OR SERVICES MADE AVAILABLE THROUGH THE ONLINE SERVICES.

THIS LIMITATION APPLIES TO ALL LOSSES AND DAMAGES OF ANY KIND, WHETHER DIRECT OR INDIRECT, GENERAL, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION LOSS OF DATA, GOODWILL, REVENUE, OR PROFITS, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IF ANY PART OF THIS LIMITATION IS FOUND UNENFORCEABLE, THE AGGREGATE LIABILITY OF THE BORDERLAND PARTIES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

Indemnification

You agree to indemnify, defend, and hold harmless the Borderland Parties from and against any claims, demands, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees and costs) arising out of or related to: (a) your use of the Online Services; (b) your User Content; (c) your violation of these Terms; or (d) your infringement of any third party rights.

Copyright and Trademark Information

All content and intellectual property rights in the Online Services, including without limitation text, graphics, logos, designs, interfaces, and the selection and arrangement thereof, are owned by or licensed to Borderland and are protected by applicable intellectual property laws. All trademarks displayed are the property of their respective owners and do not imply endorsement.

Permitted Use of Content

You may use the Online Services and content solely for personal, non-commercial purposes. Any other use—including reproduction, modification, distribution, scraping, data mining, or commercial exploitation—without prior written consent is strictly prohibited.

With the exception of search engines, you agree not to use any robot, spider, scraper, or other automated device or process to monitor or copy the Site or content without prior written permission.

Links to the Online Services

You may create hyperlinks to publicly accessible pages on the Online Services, provided the link accurately describes the content and does not portray Borderland in a false, misleading, derogatory, or otherwise offensive manner.

You may not frame the Online Services, place pop-ups over content, or otherwise alter the display of the Online Services. We reserve the right to revoke permission to link at any time.

Content Complaints

If you believe content on the Online Services violates these Terms or is otherwise inappropriate, please notify us using the contact information below.

Notice of Claimed Copyright Infringement (DMCA)

If you believe that content on the Online Services infringes your copyright, please send a written notice that includes:

1. Your name, address, telephone number, and email address;
2. Identification of the copyrighted work claimed to be infringed;
3. Identification of the material and its location (URL) on the Online Services;
4. A statement that you have a good faith belief the use is not authorized;
5. A statement under penalty of perjury that your notice is accurate and that you are the copyright owner or authorized to act on the owner’s behalf; and

We may terminate access for repeat infringers in appropriate circumstances.

Dispute Resolution; Arbitration; Class Action Waiver

To the fullest extent permitted by law, any dispute or claim arising out of or relating to these Terms or your use of the Online Services (“Dispute”) will be resolved through binding arbitration on an individual basis, rather than in court, except that either party may bring an individual action in small claims court if eligible and the matter remains in small claims court.

You and Borderland agree that:

• Arbitration will be conducted by a single arbitrator.
• The arbitration will be governed by the Federal Arbitration Act and applicable arbitration rules.
• Class actions, class arbitrations, private attorney general actions, and other representative proceedings are not permitted.
• If a Dispute proceeds in court for any reason, you and Borderland waive any right to a jury trial.

Before initiating arbitration, you agree to contact us and attempt to resolve the matter informally by emailing info@borderlandfestival.com with a brief description of the issue and the relief you seek.

Governing Law and Venue

These Terms are governed by the laws of the State of New York and applicable U.S. federal law, without regard to conflict-of-law principles. To the extent any Dispute is not subject to arbitration, you agree it will be brought in the state or federal courts located in New York, and you consent to personal jurisdiction in those courts.

Modifications and Interruption to the Online Services

We reserve the right to modify, suspend, or discontinue all or any portion of the Online Services at any time, with or without notice. We do not guarantee uninterrupted or error-free operation of the Online Services.

Changes to These Terms

We may update these Terms at any time by posting an updated version on the Site. Changes are effective immediately upon posting. Your continued use of the Online Services after changes are posted constitutes acceptance.

Other Terms

If any provision of these Terms is found unlawful, void, or unenforceable, the remaining provisions will remain in effect, and the unenforceable provision will be modified to reflect the parties’ intent to the maximum extent permitted by law.

You may not assign your rights under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.

Any claim you may have arising out of or related to the Online Services must be brought within one (1) year after the claim arises, or it is permanently barred, to the fullest extent permitted by law.
